2. Minutes of the last AGM (05/11/2024) – minutes can be found under this link - MCDC Minutes

· Resolution 1: To approve the minutes of the last AGM dated 05/11/24

3. Chairman’s Report

4. Auditor and Treasurer Report and presentation of Trustee’s Report and Accounts*

· Resolution 2: To receive & approve the audited accounts and Trustee’s Report for year to 31/03/2025

5. Appointment of Auditors

· Resolution 3: To appoint EQ Chartered Accountants as our auditors for the year ending 31/03/2026

6. Retirement/Election of Directors

As per current constitution 2 of current Directors have to stand down, plus 1 co-opted Member

Therefore up to 5 positions have to be filled. 4 nominations for Directors have been received, proposed and seconded:

· Miles Welsh

· Angus Robertson

· Brian Rendall

· Peter Lawson

All nominations have supplied a short statement about what they feel they can bring to the board. This is available to read below. 

7. Adoption of updated Mem & Arts

· Resolution 4: To adopt the updated Memorandum and Articles of Association (which can be found under this link - MCDC Draft Articles for AGM 2025

Immediately following the AGM there will be an ordinary meeting of the Companies Directors at which the new board will elect office bearers of MCDC and may appoint directors of its two subsidiaries, MCTC and MorVolts. MCC representatives on the MCDC board will also be confirmed at this meeting.

We encourage all members to attend the AGM, but if you are not able to come to the AGM, you can appoint a proxy to attend and vote on your behalf. Proxy forms are available from MCDC. Anyone wishing to become a new member or enquire about their membership status should contact the MCDC office.
